End User License Agreement

1. License Grant

SkySynq grants you a limited, non-exclusive, non-transferable, revocable license to use the SkySynq software and service solely for your personal or internal business purposes, subject to the terms of this agreement. This license is granted on a subscription basis for the duration of your active subscription.

All rights, title, and interest in and to the SkySynq software, service, and related materials — including all intellectual property rights — are and remain the exclusive property of SkySynq. This agreement does not transfer any ownership rights to you.

4. SaaS Service Terms

SkySynq is provided as a cloud-based Software-as-a-Service (SaaS) platform. Your subscription grants access to the service via our client applications. We reserve the right to update, modify, or enhance the service at any time to improve functionality, security, or performance.

5. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the service at any time. Scheduled maintenance windows will be communicated in advance when possible.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, secure, or available at any particular time or location. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of the service. No advice or information obtained from us shall create any warranty not expressly stated in these terms. You use the service entirely at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYSYNQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE. Our total aggregate liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless SkySynq and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the service, your violation of these terms, or your violation of any third-party rights.

9. Force Majeure

SkySynq shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, network failures, power outages, or third-party service disruptions.

10. Termination

We may terminate or suspend your access to the service at any time, with or without cause, with or without notice. You may cancel your subscription at any time. Upon termination, your right to use the service ceases immediately. All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
